Terms of Service

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“you” or “your”) and Holora (“Holora,” “we,” “us,” or “our”) governing your access to and use of the Holora mobile application and related services (collectively, the “Service”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not access or use the Service.

1. What Holora Is (and Is Not)

Holora is a self-custody application that enables users to collect tokenized, professionally-graded trading cards custodied by Collector Crypt and represented on the Solana blockchain. Holora is a non-custodial software interface. Holora is not a bank, money-services business, broker-dealer, exchange, custodian, or investment adviser, and nothing made available through the Service constitutes financial, investment, legal, or tax advice.

2. Eligibility

You must be at least 18 years of age (or the age of majority in your jurisdiction) and legally capable of entering into a binding contract to use the Service. By using the Service, you represent and warrant that you meet these requirements and that your use of the Service does not violate any applicable law or regulation.

3. Beta and Test Network

The Service is provided as a beta and currently operates on the Solana “devnet” test network. Cards, balances, and transactions on the test network have no real-world monetary value, may be non-functional or interrupted, and may be reset or removed at any time without notice. Features may change, be suspended, or be discontinued during the beta period.

4. License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use. You may not copy, modify, distribute, sell, lease, reverse-engineer, or create derivative works of the Service except to the extent that applicable law expressly permits.

5. Your Wallet and Self-Custody

The Service generates and stores your wallet’s private keys and recovery phrase on your device. You are solely responsible for maintaining the confidentiality and security of your keys and recovery phrase. We do not have access to your private keys or recovery phrase and cannot recover them on your behalf. If you lose access to your device and your recovery phrase, you may permanently and irretrievably lose access to your wallet and its contents.

6. Packs, Odds, and Buyback

Opening a pack yields a randomized graded card. The probability of obtaining a card of each rarity is disclosed within the Service before you open a pack. Where offered, instant buyback is available at the rate displayed within the Service at the time of the transaction. Pack outcomes are determined by Collector Crypt’s mechanics, and we do not guarantee any particular outcome, card, or value.

7. Acceptable Use

You agree not to use the Service to: (a) violate any applicable law or regulation; (b) infringe the intellectual-property or other rights of any third party; (c) engage in fraud, money laundering, or other illicit activity; (d) interfere with or disrupt the integrity or performance of the Service; or (e) attempt to gain unauthorized access to the Service or its related systems or networks.

8. Intellectual Property

The Service, including its software, design, text, and graphics (excluding assets held in your wallet and third-party content), is owned by Holora or its licensors and is protected by intellectual-property and other laws. Except for the limited license expressly granted in these Terms, no rights are granted to you.

9. Third-Party Services

The Service relies on third-party services, including Collector Crypt, one or more Solana RPC providers, and, optionally, Coinbase. We do not control, and are not responsible for, any third-party service, its availability, or its acts or omissions. Your use of third-party services may be subject to those parties’ separate terms and policies.

10. Assumption of Risk

You acknowledge and agree that the use of blockchain-based assets involves significant risk. Blockchain transactions are irreversible and may be affected by network conditions, forks, congestion, or technical failures outside our control. Digital collectibles are speculative and, in any production environment, their value may be volatile or may decline to zero. You assume all risks associated with your use of the Service, your wallet, and any digital assets.

11. Disclaimer of Warranties

The Service is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, timely, or error-free, or that any defects will be corrected.

12. Limitation of Liability

To the maximum extent permitted by applicable law, Holora and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or exemplary damages, or for any loss of profits, data, goodwill, or digital assets, arising out of or relating to your use of (or inability to use) the Service, including losses resulting from lost keys or recovery phrases, blockchain conditions, or third-party services, whether based in contract, tort, or any other legal theory, and even if we have been advised of the possibility of such damages.

13. Indemnification

You agree to indemnify, defend, and hold harmless Holora and its affiliates, and their respective officers, directors, employees, and agents, from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service will be resolved through binding individual arbitration, and to the extent permitted by applicable law, you and Holora each waive any right to participate in a class or representative action.

15. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, for any reason, including if we believe you have violated these Terms. Provisions that by their nature should survive termination, including Sections 8 through 14, will survive.

16. Changes to These Terms

We may modify these Terms from time to time. If we make material changes, we will revise the “Last updated” date above. Your continued use of the Service after the modified Terms take effect constitutes acceptance of the changes.

17. Miscellaneous

These Terms constitute the entire agreement between you and Holora regarding the Service and supersede any prior agreements. If any provision of these Terms is held to be unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any provision is not a waiver of that provision. You may not assign these Terms without our prior written consent; we may assign these Terms without restriction.
